Somewhere on Grays.com right now, a timed auction is counting down. The site is fine. The 4 August register entry belongs to the other Grays: Grays eCommerce Group Limited, ACN 125 736 914, whose creditors resolved on 31 July that the company be wound up.

If a ledger, a guarantee or an open claim says only "Grays", it now points at two different nine-digit numbers, and the difference between them is the difference between a trading counterparty and a liquidation.

The register carries the whole sequence. Administrators were appointed to Grays eCommerce Group Limited on 3 October 2025. On 19 January 2026 the company appointed the same two practitioners, Damien Pasfield and Jason Preston of McGrathNicol, as administrators again: a second administration, fifteen weeks after the first. What happened between the two appointments is not stated in the notices. The second meeting of creditors convened on 24 February, resumed on 30 April, resumed on 25 June, and resumed once more on 31 July. At that fourth sitting the creditors resolved the winding up, and under section 446A the company passed into creditors' voluntary liquidation the same day. Pasfield and Preston continue as liquidators, and McGrathNicol's own creditor page for the Grays Group records the same stage.

The identity half matters as much as the stage half. The company register carries three former names for the ACN, Mnet Group Limited, Mnemon Limited and Mercury Mobility Ltd, so paperwork from the entity's earlier years may not say Grays at all. And the marketplace's own footer today credits Slattery Grays Auction Group Pty Ltd, a different company that appears in no notice on this file. The register does not record changes of business ownership; it records the processes on each ACN.

The finished record: one brand, two companies, and on the older one a winding up that took two administrations and a meeting resumed across five months to arrive. Claims about pre-liquidation dealings sit with the ACN in liquidation; the auctions running today are a different company's business. Nothing published states why creditors voted as they did, or anything about the position of the business now trading under the name.

The register in 60 seconds

ASIC published 87 notices covering 99 entities. 4 notices named more than one company, expanding the source material to 101 company rows. 34 are newly published distress entries: a company entering an insolvent process, disclosed today. The remaining 65 are:

  • 22 winding-up applications, which ask a court for an order and are not findings of insolvency

  • 22 procedural filings on cases already open: meetings, dividends, proof deadlines and disclaimers

  • 6 companies already inside a process that moved stage, such as an administration converting to liquidation

  • 15 members' voluntary liquidations, which are solvent and not failures at all

  • 0 vacancies filled, where the process continues with a new practitioner

A single count of the day's filings would report 99 entities where the register supports 34 newly published distress entries.

St Charbel's Care Centre entered administration five weeks after its home changed hands. Michael Gregory Jones of Jones Partners was appointed administrator of St Charbel's Care Centre Ltd, ACN 161 404 164, on 4 August, with a first creditors' meeting set for 14 August via Teams. The aged-care regulator's provider register records ownership of the Punchbowl residential home transferring to Aequra Residences Pty Limited with effect from 28 June 2026. The charity's most recent annual return, for 2024, reported A$12.1 million of total revenue and 80 full-time-equivalent staff. The company in administration and the provider now operating the home are different entities; a supplier or employee record that says St Charbel needs the date-resolved pair, not the name.

The First Guardian cleanup has reached the plaintiff side of the register. Among the day's 22 applications, Hunter 1 Investments Pty Ltd, ACN 144 793 073, faces a Supreme Court hearing at 10:30am on 19 August. The applicant is Falcon Capital Limited (In Liquidation) as trustee for the First Guardian Global Income Fund. The Federal Court ordered Falcon Capital and the First Guardian Master Fund wound up in April 2025 on ASIC's application, with FTI Consulting appointed. Teams tracking First Guardian entities can now meet them in the applications lane, not only in fund-level announcements. An application seeks an order; it establishes nothing about Hunter 1 Investments, and the notice states no basis of claim. ASIC's April 2025 announcement

Meeting

These matters already appeared in an earlier issue. Both dates below are PUBLICATION dates, so the underlying events are earlier still. Neither step is visible to anyone reading a single day in isolation.

Bottom line

Today's register is a day of split identities. Grays resolves to two companies, one trading under new ownership and one in liquidation. St Charbel resolves to an operator in administration and a new operating provider recorded from 28 June. Same names, different nine digits, and only the digits act correctly in a ledger. What the record does not establish: why any process began, or the position of any business trading under a shared name.

Today's issue separated one auction brand into two companies, an aged-care operator from its successor, and a fund cleanup's court filings from the fund itself. Get the next Daily Register for each day's resolved names, ACNs, stages and court dates, connected before you have to act on them.
