On Wednesday, 12 August, the Supreme Court of Victoria made a winding-up order against Provide Nominees Pty Ltd, ACN 644 657 161, the company trading as Provide Capital. Stephen John Michell was appointed liquidator. The company was formerly called TPP Media Pty Ltd.

The Federal Court record describes Provide as inviting investors, including individuals, companies, self-managed superannuation funds and trusts, to lend money to the company for fixed interest returns.

The liquidation follows two winding-up applications commenced in June.

Two winding-up applications came first

9 June 2026: Sheila Shorter commenced a winding-up application against Provide Nominees Pty Ltd in the Federal Court in Victoria, file VID608/2026. It was listed for 14 July.

25 June 2026: Pauline Hill commenced a second winding-up application, this time in the Supreme Court of Victoria, file S ECI 2026 04130.

The second application was listed for 10:30am on 12 August. Provide Nominees was wound up by the Supreme Court of Victoria that same day. The appointment notice does not identify which applicant obtained the winding-up order. Nor do the published notices state what either applicant was owed or what relationship either had with Provide.

That distinction matters. The public record establishes the applications and the liquidation. It does not establish the underlying debts.

ASIC began investigating Provide in 2022

The liquidation lands on a company with an unusually well-documented regulatory history.

ASIC opened a formal investigation into Provide on 29 March 2022 concerning suspected contraventions relating to the offering of investment opportunities to the public. On 5 August 2022, the investigation was expanded to additional suspected contraventions, including suspected false or misleading representations.

Those were matters under investigation, not findings of contravention.

Two separate court proceedings followed: one concerning ASIC's demand for documents, which reached the High Court at the special-leave stage, and one concerning Provide's attempt to restrain the investigation itself.

The document dispute reached the High Court

ASIC issued a formal notice requiring documents on 4 April 2022. On 2 December 2022, ASIC went to the Federal Court alleging Provide had failed to comply without reasonable excuse.

On 25 September 2023, the Federal Court ordered Provide to produce the outstanding material. Justice O'Bryan wrote that the evidence demonstrated "a history of delay and obfuscation" in the company's compliance with the notice.

Provide appealed. On 22 February 2024, the Full Federal Court dismissed that appeal. Provide then sought special leave to appeal to the High Court.

On 6 June 2024, the High Court refused special leave, with costs, ending that appellate route.

ASIC's release, subsequently updated to record the High Court outcome, said its investigation into Provide Capital continued. No later public outcome of that underlying investigation has been identified in the sources reviewed for this issue.

Provide also tried to stop the investigation

That was a separate proceeding. Provide sought orders restraining ASIC from continuing its investigation. On 27 March 2024, the Federal Court summarily dismissed the proceeding.

The document-production litigation and the investigation itself therefore need to be kept separate. The first ended after the High Court refused special leave.

The court record also identifies a $2.6 million services relationship

The 2023 Federal Court judgment records banking evidence showing payments by Provide totalling $2.6 million to Online Investments Pty Ltd under a services agreement. The judgment notes that Online Investments' sole director was James Mawhinney.

The judgment makes no adverse finding against Online Investments or Mr Mawhinney.

What the liquidation establishes, and what it does not

Known from the public record: Provide Nominees Pty Ltd, trading as Provide Capital, is in court liquidation. Stephen John Michell is the liquidator. The Supreme Court of Victoria made the appointment on 12 August. Two creditor winding-up applications preceded it. ASIC began investigating Provide in 2022, and Provide's dispute over ASIC's document demands reached the High Court special-leave stage in 2024.

Not established by the sources reviewed: what Sheila Shorter or Pauline Hill were owed. Whether either applicant was a Provide investor or lender. How much money Provide currently owes lenders. What lenders may recover. Whether the liquidation has any connection with ASIC's investigation. The final public outcome of ASIC's underlying investigation.

Bottom line

What changed. Provide Nominees Pty Ltd, the company trading as Provide Capital, was wound up by the Supreme Court of Victoria on 12 August following two winding-up applications commenced in June.

Why it matters. The Federal Court record describes a business that invited investors to lend directly to Provide for fixed interest returns. The company is now in liquidation, while the amount of current lender exposure and likely recoveries remain unknown.

What the record does not prove. It does not establish any connection between the liquidation and ASIC's investigation. It does not establish any contravention by Provide, Online Investments or any individual. And it does not establish what any lender will recover.

AUS BTM PTY LTD, ACN 676 033 140, entered voluntary administration on 7 August, with Daniel Walley and Adam Colley appointed. Proofs are due 18 August and the first meeting of creditors is 19 August.

Bitcoin Depot, the US crypto-ATM operator, initiated a Chapter 11 wind-down in Texas in May and said its non-US entities, including its roughly 140 Australian kiosks, would wind down under local law. The Australian administration appears to be the local insolvency process foreshadowed in that restructuring.

Sixteen files, two creditors, one morning

Viva Energy Australia Pty Ltd, ACN 004 610 459, is the applicant in nine winding-up applications published today. All nine are listed for 10:30am on 19 August in the Supreme Court of Victoria. Seven concern transport, haulage or logistics companies.

Yesterday's notices put seven applications from Branded Financial Services into the same hearing slot. Two creditors therefore account for sixteen files in one morning's list.

An application asks a court for an order. It is not a finding of insolvency.

The name on the door is not the name on the notice

ACN 154 459 828 Pty Ltd, whose registered trading name is Anytime Fitness Marrickville, entered creditors' voluntary liquidation on 12 August with Daniel John Frisken appointed. The gym's own pages present it as operating, and the register does not establish whether the club continues to trade or, if so, under whom. The appointment concerns that single company, formerly Rouge Enterprises Pty Ltd, and says nothing about Anytime Fitness nationally.

Upwell Health Collective Pty Ltd, ACN 614 582 991, a Camberwell allied-health clinic, entered creditors' voluntary liquidation on 11 August with Andrew Mattinson appointed.
