A manufacturer that grew to more than 100 staff has entered administration. But the BB Truss name does not sit on one legal entity.

B B Truss & Timber grew to more than 100 staff, across three Victorian locations, with a 6,000 square metre automated factory and an expanding structural-steel operation. It also offers established customers 30-day trade accounts.

Now two companies connected to the business have entered voluntary administration: B B Truss & Timber Pty Ltd, ACN 059 242 134, and Armatile Pty. Ltd., ACN 007 141 184.

But there is a problem if you are trying to work out exactly what has gone into administration.

The familiar BB Truss business identity does not sit neatly inside one legal entity. The company named in the insolvency notice has one record. The newer BB Structural Steel name sits on another. And that second record belongs to a trust.

For a builder, supplier or creditor, that distinction is not academic. The entity printed on an invoice or credit agreement can matter more than the name over the door.

B B Truss & Timber Pty Ltd, ACN 059 242 134, entered voluntary administration on 14 September. Matthew Hutton and Robert Smith of McGrathNicol were appointed administrators.

A second company, Armatile Pty. Ltd., ACN 007 141 184, entered administration on the same day with the same two administrators.

Proofs and proxies are due on 23 September.

B B Truss is not a small workshop. The business says it grew from four employees to more than 100, with locations in Melbourne, Ballarat and Bendigo. Local reporting since the appointment puts the current workforce at about 90. Its Bendigo operation includes a purpose-built manufacturing plant of more than 6,000 square metres on 3.5 hectares, which a City of Greater Bendigo profile says the business built in 2005 after researching 25 Australian truss factories. By the time that profile was published, Geoff Baxter estimated BB products had already gone into more than 10,000 Melbourne homes.

It makes roof trusses, floor trusses, wall frames and prefabricated structural steel, says automation and robotics are used in production, and extends 30-day trade accounts to established customers who meet its criteria.

This is not simply a historical clean-up. Matthew Hutton has said the administrators' immediate focus is assessing the business and its assets, and working with management, employees, suppliers and customers to stabilise operations.

So there is real employment, real equipment and real commercial exposure attached to the BB Truss name. The question is where all of that legally sits.

The company in administration is B B Truss & Timber Pty Ltd. It was incorporated in 1993 under the former name In-Line Truss & Timber (Aust) Pty Ltd and remains a registered company.

Its own ABN, however, was cancelled in April 2000.

That fact on its own is not remarkable. A company registration and an ABN are different things, and a great many Australian companies carry no ABN at all.

The interesting part appears when you search the BB Truss trading identity. A second, active ABN appears: ABN 20 986 756 544.

The business register identifies that entity as The Trustee for B B Trust, and its entity type as a discretionary trading trust. It holds the registered business name BB Structural Steel, registered in May 2021.

That means the registered name of the steel operation the business has been expanding does not sit on the ABN of the company that has just entered administration. It sits on the trust ABN.

And the trust record reaches further than the steel name. The commercial business-information provider Dun & Bradstreet identifies The Trustee for B B Trust as doing business as B B Truss & Timber Pty Ltd at the Piper Road operation in East Bendigo, and attaches the same BB Truss website to that trust record. That is a commercial database rather than a register, so it is a lead and not a registry fact.

And then the records point back the other way.

B B Truss's own current privacy policy identifies B B Truss & Timber Pty Ltd as the entity providing the services, collecting customer information and maintaining client files, giving 41 Keilor Park Drive as its contact address.

So this is not a neat case of the company over here and the trust over there. The public-facing business itself points to both.

That is why the administration perimeter cannot be worked out from the trading name alone.

There is a historical bridge between the two. The business register recorded the trust's entity name in 2000 and 2001 as "B B TRUSS & TIMBER PTY LTD ATF B B TRUST". "ATF" means "as trustee for".

So B B Truss & Timber Pty Ltd historically acted as trustee for B B Trust.

But the public record no longer names the current trustee. Since 2003, the entity has simply been recorded as The Trustee for B B Trust.

The historical record proves that B B Truss & Timber Pty Ltd acted as trustee for B B Trust in 2000 and 2001. It does not identify the current trustee, or tell us where the operating assets and contracts now sit.

That is the information gap.

BB Structural Steel was registered to the trust ABN in May 2021.

B B Truss describes structural steel as the newest addition to its product range, covering design, fabrication, galvanising and installation, supported by robotic cutting and welding. In an industry interview before the administration, Geoff and Tania Baxter said the move into steel came from builders struggling to coordinate timber and structural-steel suppliers. They described steel as a significant part of the growing business, and said another factory was being built to support the expansion.

So the arm the business describes as its newest, and a significant area of expansion, is also the part whose registered business name sits on the trust ABN rather than the administered company's.

That does not tell us where the steel assets or contracts legally sit. It tells us why the distinction now matters.

Armatile entered administration on the same day with the same administrators. Unlike B B Truss & Timber Pty Ltd, it has an active ABN and GST registration.

Public business records also supply a direct personal link. Dun & Bradstreet identifies Tania Louise Baxter as Armatile's key principal and places the company at 41 Keilor Park Drive, Keilor Park. It identifies Geoffrey Reginald Baxter as B B Truss & Timber's principal at that same address, which is also the Melbourne location B B Truss publishes. The City of Greater Bendigo has previously described Geoff and Tania Baxter as the co-owners of the BB business.

That is a documented connection through people and a shared operating address. It is not a shareholding record, and the register has not been asked.

What the public record does not yet establish is the present-day legal relationship between B B Truss & Timber Pty Ltd, Armatile Pty. Ltd. and B B Trust.

A common appointment does not prove ownership, and a shared public-facing identity does not tell us which legal entity signed a particular contract.

The notice tells you B B Truss & Timber Pty Ltd has entered administration. It does not tell you:

Who is the current trustee of B B Trust?

Which entity employs the workforce?

Which entity owns the manufacturing equipment?

Where does BB Structural Steel legally sit?

Which entity held the customer trade accounts?

What role does Armatile play?

For someone trying to understand the business from the outside, those are not minor corporate details. They are the map.

One public business identity. Several legal records. Administration has just made the difference matter.

ASIC published 125 notices covering 120 entities on 17 September. Of those:

A winding-up application asks a court for an order. It does not mean the company has been wound up. A members' voluntary liquidation is ordinarily a solvent process.

The day's filings produced 80 deadlines: 33 proofs of debt, 23 proof-and-proxy deadlines, 19 hearings and five proposal periods.

Six companies published dividend notices the same day, all now appearing under their ACNs rather than their former names: Traffic Technologies Ltd, Aldridge Traffic Systems, De Neefe Signs, L&M Traffic Services, Sunny Sign Company and Quick Turn Circuits. All six entered administration on one day in April 2025 and liquidation on one day that July. Their proofs close 8 October.

Fitbit (Australia) Pty Ltd also appears, in a members' voluntary liquidation, which is ordinarily a solvent process. DFO Goods Pty Ltd entered liquidation holding the registered business name Red Rooster Yarrabilba, and Badmash Pty Ltd holds Farzi and Neo by Farzi.

Nineteen winding-up applications were published on 17 September, and the Deputy Commissioner of Taxation brought 13 of them. An application asks a court for an order. It is not a finding of insolvency, and it can be paid out, settled, adjourned or dismissed.

The remaining 15 are in the full 17 September register, with the applicant, court and hearing for each.

ASIC published notices provide the two appointments, the administrators, the deadlines and the day's broader register. Company registration, company status, former names and registered business names come from the ASIC company register and the Australian Business Register, including the registration of BB Structural Steel against a trust ABN that the company register does not hold. The historical trust wording and the later change to "The Trustee for B B Trust" come from the business register's historical record.

B B Truss's published material provides the locations, factory scale, product range and payment terms, and the account of its expansion into structural steel comes from an industry interview published before the administration. The 2005 construction of the Bendigo plant, the estimate of more than 10,000 Melbourne homes and the description of Geoff and Tania Baxter as co-owners are from a City of Greater Bendigo industry profile, and are historical rather than current. The current workforce figure and the administrators' statement are from reporting published after the appointment. The principals and addresses attributed to Dun & Bradstreet are from a commercial business-information database, not a register, and have not been checked against company records. The statement about which entity provides the services and holds client files is B B Truss's own current privacy policy. Armatile's location history is the business register's own dated record.

The day's register was captured in full: 125 of 125 notice-detail pages. The counts describe what was published on 17 September, not what occurred on it.

External administration is a matter of public record. Nothing in this article alleges wrongdoing by any company, director, shareholder, trustee, lender, customer or other person named. Company-and-trust structures are ordinary and lawful business structures.
