On 3 August, ASIC published a winding-up application against VentureCrowd Services Australia Pty Ltd. On 18 August, the Supreme Court of Queensland made the order.

The application was public for 15 days. The legal name did not show why the company mattered.

VentureCrowd's own material does. It identifies ACN 638 909 878, the company wound up, as the entity providing shared corporate services to companies within the VentureCrowd group, and as the company connected to two investor offers.

ASIC published the order on 19 August. Stephen Earel and Barry Wight of Cor Cordis were appointed liquidators.

The company named in two VentureCrowd investor offers

In 2023, VentureCrowd offered investors preferred-equity exposure linked to the company through VentureCrowd Trust No. 0665, at a targeted 15% a year.

In 2025, VentureCrowd marketed the VentureCrowd Fixed Income Fund to wholesale investors. Its own material described the fund's strategy as investing in preference shares of VentureCrowd Services Australia, targeting 10.5% a year paid monthly over a twelve-month term, with the return linked to the company's operating revenue.

Two offers, two years apart, both pointing at the same company. The later one tied its targeted return to that company's operating revenue.

The sequence, in the order it happened

9 April 2026. VentureCrowd Holdings Pty Ltd, ACN 164 416 040, entered voluntary administration. The notice records the appointor as "under section 436C, a person entitled to enforce a security interest in the whole, or substantially the whole of the property of the Company". That is an appointment by a secured party, not by the company's directors. W. Roland Robson was the administrator. ASIC published it on 10 April.

Late April. ASIC records Stephen Earel and Barry Wight of Cor Cordis as administrators of the parent, against the same 9 April appointment date.

20 July. A winding-up application against VentureCrowd Services Australia was commenced by Countdown2Noosa Pty Ltd as trustee for Countdown2Noosa Super Fund, in the Supreme Court of Queensland, proceeding 3385/26. ASIC published it on 3 August, listing the hearing for 9:30am on 18 August.

24 July. VentureCrowd Holdings entered liquidation by deemed special resolution under paragraph 446A(5)(b), the provision under which an administration converts to a creditors' voluntary liquidation. Earel and Wight were appointed. ASIC published it on 27 July.

18 August. The court made the order. The hearing listed in the published notice and the date of the winding-up order are the same day.

19 August. ASIC published the liquidation.

One detail joins the two ends of that sequence. Earel and Wight, appointed liquidators of the parent in July, are the same two practitioners appointed to VentureCrowd Services Australia in August. Two separate proceedings began by different routes. A secured party appointed the parent's administrators, while a superannuation fund trustee applied to wind up VentureCrowd Services Australia. Both ultimately resulted in Earel and Wight serving as liquidators. The record does not establish any connection between the initiating parties.

What the record does not establish

Quite a lot, and it is worth being plain about it.

No source reviewed says where that leaves an investor. VentureCrowd's website still carries a page describing the fund's stated strategy of investing in the company's preference shares. That establishes what the page says, not what the fund held on 18 August or holds now.

The 15% and 10.5% are targets from marketing material. What was actually paid is not on the public record.

No notice names the parent and VentureCrowd Services Australia together, so this is two proceedings that share practitioners, not one group insolvency. The notices reviewed do not establish the present status of VentureCrowd's other companies.

Sources. ASIC published notices for the winding-up application against VentureCrowd Services Australia, the parent's administration, the change of administrators and the parent's liquidation. VentureCrowd's description of the company's role in the group and the 2023 offer are on its own VC Services page. The 2025 fund's stated strategy is on its raise page for the company.

The Daily Register, 19 August 2026

The register in 60 seconds

ASIC published notices concerning 104 entities on 19 August:

  • 51 newly published distress entries

  • 22 procedural filings on open matters

  • 15 existing matters that moved stage

  • 9 winding-up applications

  • 7 members' voluntary liquidations

A winding-up application asks a court for an order; it does not mean a company has been wound up. A members' voluntary liquidation is ordinarily a solvent process.

All 104 are listed with their ACNs and the fields relevant to that type of event, plus an identifying registered name where the legal name does not identify the business. Winding-up applications include the applicant, court and hearing date. See the full 19 August register, free with a subscription.

Nine applications, after twenty-seven and thirty-four

The register carried 9 winding-up applications, against 27 on 18 August and 34 on 17 August. Six of the nine were commenced in mid-July and published only now.

The largest single applicant was Allianz Australia Workers' Compensation, with three. The Deputy Commissioner of Taxation, for the ATO, brought three across two spellings. The remaining three came from an energy retailer, a self-managed superannuation fund trustee and a strata owners corporation.
